1. Confidential Information. The Receiving Party agrees to maintain in strict confidence all confidential and proprietary information disclosed by the Disclosing Party, including but not limited to trade secrets, business strategies, data, plans, intellectual property, and any other material marked or understood to be confidential.

2. Use Limitation. The Receiving Party shall use the confidential information solely for the purpose of evaluating potential business relationships, and shall not disclose it to any third party without written consent from the Disclosing Party.

3. Duration. This Agreement shall remain in effect for a period of five (5) years from the date of disclosure, or until such information is no longer deemed confidential by the Disclosing Party.

4. Exclusions. This Agreement does not apply to information that was publicly available at the time of disclosure or becomes publicly known through no fault of the Receiving Party.

5. Legal Remedies. The Disclosing Party shall be entitled to seek injunctive relief, damages, and any other remedies available at law or in equity in the event of a breach.

6. Governing Law. This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction where the Disclosing Party is headquartered.
